Terms of Service

These Terms of Service ("Terms") govern your access to and use of the KIOKU™ platform operated by IKONBAI Inc. ("IKONBAI™", "we", "us", or "our"). By accessing or using KIOKU™, you agree to be bound by these Terms.

1. Acceptance of Terms

By creating an account or making an API call to KIOKU™, you confirm that you are at least 18 years old, have the legal authority to enter into these Terms on behalf of yourself or your organization, and agree to comply with all applicable laws and regulations.

2. Service Description

KIOKU™ is an AI agent memory and deliberation platform that provides:

• Persistent memory storage (semantic, episodic, procedural) via REST API
• Multi-agent deliberation rooms with structured reasoning sessions
• Agent registry and flow orchestration
• SDK and MCP integration tools
• A web-based management dashboard

We reserve the right to modify, suspend, or discontinue any feature of the service with reasonable notice.

3. Accounts & API Keys

You are responsible for maintaining the confidentiality of your API key. Do not share your API key publicly or embed it in client-side code. You are responsible for all activity that occurs under your account and API key. If you suspect unauthorized use, rotate your key immediately via the dashboard and notify us at security@usekioku.com.

4. Acceptable Use

You agree not to use KIOKU™ to:

• Violate any applicable law or regulation
• Store, transmit, or process content that is illegal, harmful, defamatory, or infringes third-party rights
• Attempt to reverse-engineer, scrape, or extract the underlying AI models or proprietary algorithms
• Probe, scan, or test the vulnerability of the system without written authorization
• Circumvent rate limits, abuse free tiers, or create multiple accounts to evade plan restrictions
• Use the platform to train or fine-tune competing AI models

Violation of this section may result in immediate account suspension without refund.

5. Billing & Plans

KIOKU™ offers tiered subscription plans billed monthly. Current plan pricing is displayed on the billing page within your dashboard. All prices are in USD.

• Starter (Free): Limited API calls and memory operations — no credit card required
• Pro ($49/mo): Increased limits, priority support, advanced analytics
• Enterprise ($199/mo): Unlimited operations, dedicated onboarding, SLA guarantee

Subscriptions are billed in advance on a monthly basis via Stripe. You authorize IKONBAI Inc. to charge your payment method on file for recurring subscription fees. Taxes may apply based on your jurisdiction.

6. Refund & Cancellation Policy

IKONBAI Inc. reserves the right to issue refunds at its sole discretion for extenuating circumstances (e.g., service outages exceeding 24 hours).

7. Intellectual Property

KIOKU™, IKONBAI™, and all associated technology, including patented methods for intelligent memory lifecycle management and structured deliberation session management, are the exclusive property of IKONBAI Inc. The platform is protected by U.S. and international intellectual property laws, including patent applications on file with the USPTO.

You retain ownership of all data and content you submit to KIOKU™. You grant IKONBAI Inc. a limited, non-exclusive license to process your data solely to provide the service.

8. Your Data

We treat your data as described in our Privacy Policy. You may export or delete your data at any time. Upon account termination, your data is deleted within 30 days. We do not claim ownership of your memories, agents, or deliberation content.

9. AI-Generated Content Disclosure

KIOKU™ uses artificial intelligence models provided by third-party services (including OpenAI and Google Gemini) to generate agent responses, deliberation summaries, and memory embeddings. All AI-generated content:

• May contain inaccuracies, errors, or outdated information
• Is not a substitute for professional legal, medical, financial, or other expert advice
• Should be independently verified before making important decisions
• Is provided "as is" without warranties of accuracy or completeness

IKONBAI™ is not liable for any losses or damages resulting from reliance on AI-generated content. Users are responsible for reviewing and validating all AI outputs before use.

By using KIOKU™, you acknowledge that AI agents are assistive tools and not replacements for licensed professionals.

10. Disclaimers & Limitation of Liability

THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. IKONBAI INC. DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IKONBAI INC.'S TOTAL LIABILITY FOR ANY CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS SHALL NOT EXCEED THE AMOUNT YOU PAID TO IKONBAI INC. IN THE 12 MONTHS PRECEDING THE CLAIM. IN NO EVENT SHALL IKONBAI INC. BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES.

11. Termination

We may suspend or terminate your account immediately if you violate these Terms or engage in conduct that could harm KIOKU™, other users, or third parties. Upon termination, your right to use the service ceases immediately. Sections 7 (Intellectual Property), 10 (Disclaimers), and 12 (Governing Law) survive termination.

12. Governing Law

These Terms are governed by the laws of the State of California, United States, without regard to its conflict of law principles. Any disputes shall be resolved exclusively in the state or federal courts located in Los Angeles County, California, and you consent to the personal jurisdiction of such courts.
